1. Agreement to Terms

4. Service Agreements

4.1 Engagement Process

All service engagements begin with a strategic audit or discovery call. Upon mutual agreement, we will provide a detailed proposal or statement of work outlining:

• Scope of services
• Deliverables and milestones
• Timeline and schedule
• Investment and payment terms

4.2 Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely access to required systems, accounts, and data
• Designate a point of contact for project communication
• Review and provide feedback on deliverables within agreed timeframes
• Ensure accuracy of provided information and content

5. Payment Terms

5.1 Fees and Pricing

Service fees are outlined in individual proposals. Standard payment terms include:

• Setup Fees: Typically 50% due upon project commencement, 50% upon completion
• Monthly Retainers: Invoiced monthly in advance
• Additional Services: Quoted and invoiced separately

5.2 Payment Methods & Processing

All payments are securely processed through Stripe, a PCI-DSS Level 1 certified payment processor. We accept:

• Credit and debit cards (Visa, Mastercard, American Express)
• SEPA Direct Debit (for EU customers)
• Bank transfers

Payment is due within 14 days of invoice date unless otherwise specified. By making a payment, you agree to Stripe's Terms of Service and Privacy Policy.

5.3 Payment Security

GrowBaze does not store your full credit card details. All payment information is handled directly by Stripe using industry-standard encryption. Your financial data is protected in accordance with PCI-DSS requirements.

5.4 Late Payments

Late payments may incur interest at the statutory rate. We reserve the right to suspend services for accounts more than 30 days overdue.

6. Intellectual Property

6.1 Client Materials

Clients retain all rights to their pre-existing materials, content, and data provided to us during the engagement.

6.2 Deliverables

Upon full payment, clients receive ownership of custom deliverables created specifically for their project, including:

• Custom automation workflows and integrations
• Client-specific content and copy
• Custom-designed assets and templates

6.3 GrowBaze Assets

GrowBaze retains ownership of:

• Proprietary methodologies and frameworks
• Pre-existing templates and tools
• General knowledge and expertise gained during engagement

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes:

• Business strategies and plans
• Customer data and lists
• Financial information
• Technical implementations and configurations

Confidentiality obligations survive termination of services for a period of two (2) years.

8. Limitation of Liability

To the maximum extent permitted by law:

• GrowBaze shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the fees paid for the specific services giving rise to the claim
• We are not responsible for third-party service outages or failures

9. Termination

9.1 By Client

Clients may terminate services with 30 days written notice. Fees for work completed up to termination date remain due.

9.2 By GrowBaze

We may terminate services immediately if:

• Payment is more than 30 days overdue
• Client breaches these Terms or service agreement
• Client engages in illegal or unethical activities

9.3 Effect of Termination

Upon termination, we will provide access to completed work and assist with reasonable transition needs. Ongoing subscriptions or retainers will cease at the end of the current billing period.

10. Website Use

10.1 Acceptable Use

When using our website, you agree not to:

• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems
• Interfere with website functionality or security
• Collect user data without authorization
• Use the website for spam or malicious purposes

11. Disclaimer of Warranties

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Hamburg, Germany.

For EU consumers: Nothing in these Terms affects your statutory rights under applicable consumer protection laws.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the modified Terms.
